The Commercial Companies Code stipulates that a professional partnership is a partnership formed by partners to practice liberal professions in a partnership running a business under its own name. The last element of this definition, the own name of a professional partnership , is the subject of today’s entry.
A business name is a way of indicating a partnership for the purpose of individualization and identification in the market – so that it distinguishes itself from other entities present on the market.
In the case of a professional partnership, we need to describe three elements of a business name.
The most important part is the main body of a business name, which is obligatory. In a professional partnership, the main body of a business name is the name of at least one partner. The main body may also have an expanded form, including the initials of the first name or a full name of at least one partner. There is no other option here, as a partner of a professional partnership can only be a natural person who must also have the right to pursue a liberal occupation.
Another mandatory element of a business name of a professional partnership is a supplement that defines the organizational and legal form of the partnership. There are also several variants – “spółka partnerska” (“professional partnership”), “i partnerzy” (”and partners”), “i partner” (”and partner”). It is acceptable to use the abbreviation “sp. p. “. However, it is unacceptable to use modifications of “i partnerzy” and “i partner” in accordance with gender of partners as “i partnerki” or “i partnerka”.
Finally, an optional supplement may be included in the business name of a professional partnership which, for example, points to the subject of the professional partnership’s business or place of business.
Translating this information into practice, the business name of a professional partnership, according to some of the options discussed, should look like this:
- Kowalski i Partnerzy
- Kowalski i Partnerzy Kancelaria Prawna
